Ethics Code and Compliance Policy

1.0 Introduction
Boldlion Global Services Limited is committed to conducting its business the highest standards of integrity and ethical conduct. We believe that strong ethical standards are essential to our long-term success and to maintaining the trust of our clients, employees, and shareholders.
2.0 Scope
This Ethics Code and Compliance Policy document sets forth the basic principles and standards of conduct that are expected of all Boldlion employees, directors, officers and all associated parties. It extends to all activities and operations conducted on behalf of the company. It is important to note that this document is not an exhaustive list of all possible ethical issues that may arise, but it is intended to provide guidance on how to make sound ethical decisions in the workplace.

The following basic principles underlie Boldlion’s Ethics Code and Compliance Policy:

Confidentiality: We protect sensitive and confidential information, disclosing it only when required by law or with proper authorization. We do not use or disclose confidential information for personal gain.

Reporting Violations: We encourage reporting of violations of this Policy or any applicable law or regulation. We ensure non-retaliation against individuals who report violations in good faith.
4.0 Specific Standards of Conduct
In addition to the basic principles listed above, the following specific standards of conduct are expected of all Boldlion employees, directors, and officers:
- Conflicts of Interest: Boldlion employees must avoid any situations that could create a conflict of interest between their personal interests and the interests of the company.
- Anti-Corruption: Boldlion employees must not engage in any form of bribery or corruption.
- Bribery and Kickbacks: Boldlion employees must not offer, promise, or pay any bribe or kickback to any person or entity in order to obtain or retain business.
- Gifts and Favors: Boldlion employees must not accept or give gifts or favors that could reasonably be construed as influencing their business decisions.
- Confidential Information: Boldlion employees must protect the confidentiality of all company information, including trade secrets, financial information, and client information.
- Workplace Conduct: Boldlion employees are expected to conduct themselves in a professional and respectful manner at all times. This includes creating a workplace that is free from discrimination, harassment, and intimidation.
5.0 Compliance Policies
In addition to the Ethics Code, Boldlion has a number of compliance policies in place to help employees comply with applicable laws and regulations. These policies include:
- Fraud and Malpractice Policy: This policy outlines Boldlion’s commitment to preventing fraud, malpractice and corruption in all of its business dealings.
6.0 Compliance Responsibilities
- Leadership Commitment: Boldlion’s leadership is responsible for setting an example of ethical conduct and ensuring the implementation of compliance programs.
- Employee Responsibility: Employees are expected to understand and adhere to this Policy. Employees must promptly report any violations or concerns to their supervisors or the designated compliance officer.
- Compliance Officer: Boldlion Global Services Limited will appoint a compliance officer responsible for overseeing and implementing the compliance program.
7.0 Enforcement and Accountability
Boldlion takes violations of its Ethics Code and compliance policies very seriously. Employees who are found to have violated the code or a policy may be subject to disciplinary action, up to and including termination of employment. Boldlion Global Services Limited may also pursue legal action when necessary.
8.0 Training and Education
Boldlion Global Services Limited will provide training and resources to ensure that all parties are aware of and understand this Policy and applicable legal requirements.
9.0 Monitoring and Reporting Violations
Any employee who suspects that another employee has violated the Ethics Code or a compliance policy is required to report their concerns to their manager or to the Human Resources Department. All reports of violations will be investigated thoroughly and confidentially. The compliance officer will monitor and report on compliance efforts, making necessary adjustments to the Policy as needed.
